Restatement of amendments to the Articles of Association of Unimot S.A.

The Management Board of Unimot S.A., with its registered office in Zawadzkie (the “Company”), announces that on 8 August 2022 it received a decision from the District Court in Opole, VIII Economic Division of the National Court Register, on the entry into the Register of Entrepreneurs on 5 August 2022 of the below-described amendments to the Company’s Articles of Association adopted on 29 June 2022 by the Ordinary General Meeting of the Company.

With reference to current report no. 24/2022 of 2 June 2022, the Management Board of UNIMOT S.A. with its registered office in Zawadzkie (the “Issuer”) announces that on 1 August 2022, the Issuer and Unimot Paliwa sp. z o.o. (a company 100% controlled by the Issuer, “Unimot Paliwa”) an agreement to transfer an organised part of the Issuer’s enterprise (“OCP”) in exchange for the acquisition of new shares in Unimot Paliwa (the “Agreement”).

(a wholly-owned subsidiary of the Issuer, “Unimot Investments”) a block of 100 per cent of shares in Lotos Terminale S.A. from Grupa Lotos S.A. (“Consent of the President of the OCCP”, “Transaction”).
