Conclusion an insurance guarantee agreement

With reference to Current Report No. 3/2023 of 31 January 2023, The Management Board of UNIMOT S.A. with its registered office in Zawadzkie (the “Issuer”) announces the conclusion on 14 March 2023 of an insurance guarantee agreement with Sopockie Towarzystwo Ubezpieczeń ERGO Hestia S.A. (the “Guarantor”) in order to secure the payment of excise tax and fuel charges by LOTOS Terminale S.A. (“Lotos Terminale”) in force following the acquisition by the Issuer’s subsidiary, i.e. Unimot Investments sp. z o.o. 100% of the shares in Lotos Terminale.

With reference to Current Report No. 47/2022 of 14 November 2022, Current Report No. 49/2022 of 9 December 2022 and Current Report No. 1/2023 of 9 January 2023, The Management Board of UNIMOT S.A. with its registered office in Zawadzkie (the “Issuer”) announces that on 7 March 2023, the Issuer concluded an agreement by virtue of which the Issuer acquired 90% of shares in Olavion sp. z o.o. (the “Agreement”, “Olavion”) from two individuals, including the majority shareholder (the “Seller”).

Conclusion of further contracts for the purchase of rail wagons bearing a significant total value

With reference to Current Report No. 44/2022 of September 30, 2022, the Management Board of UNIMOT S.A. with its registered office in Zawadzkie (the “Issuer”) informs that on February 22, 2023, it received information that on February 21, 2023, the contractor signed an agreement for the purchase by the Issuer’s Group of new rail tankers intended for the transportation of petrol or diesel fuel (the “Wagons”).

The Management Board of UNIMOT S.A. with its registered office in Zawadzkie (the “Issuer”) announces the conclusion on 3 February 2023 by its subsidiary UNIMOT Investments sp. z o.o. (“UNIMOT Investments”) with PKN ORLEN S.A. (“PKN ORLEN”) a conditional promised agreement for the acquisition of 100 per cent of the shares in Lotos Terminale S.A. (the “Promised Agreement” the “Parties”).

Conclusion by the Issuer and UNIMOT Investments sp. z o.o. on excise duty security for the planned acquisition of 100% of shares in LOTOS Terminale S.A., with the Issuer securing obligations via a blank promissory note

The Management Board of UNIMOT S.A. with its registered office in Zawadzkie (the “Issuer”) announces the conclusion on 31 January 2023 by the Issuer and its subsidiary UNIMOT Investments sp. z o.o. (“UNIMOT Investments”) an excise duty security agreement with PKN ORLEN S.A. (“PKN ORLEN”) and Lotos Terminale S.A. (“Lotos Terminale”, the “Arrangement”). The conclusion of the Arrangement is related to the planned acquisition of 100 per cent of the shares in Lotos Terminale S.A., which the Issuer announced in Current Report No. 2/2022 of 12 January 2022 (the “Transaction”).

With reference to Current Report No. 47/2022 of 14 November 2022 and Current Report No. 49/2022 of 9 December 2022, the Management Board of UNIMOT S.A. with its registered office in Zawadzkie (the “Issuer”) announces that on 9 January 2023, the Issuer concluded a preliminary conditional agreement for the sale of 100 per cent of shares in Olavion sp. z o.o. (the “Preliminary Agreement”, “Olavion”) from two individuals, including the majority shareholder (the “Seller”) and seven executives (the “Executives”).
