Preliminary estimated selected financial data for Q4 2025

Report No.: 3/2026, Publication date: 24.02.2026 19:38

The Management Board of UNIMOT S.A. (the ‘Issuer’) with its registered office in Zawadzkie, hereby announces that, following the analysis and verification of preliminary, estimated selected financial data for the fourth quarter of 2025 (the ‘Preliminary Data’), it has decided to publish them as confidential information.

The consolidated preliminary data for the fourth quarter of 2025 amounts to:

 ·       Sales revenue: PLN 3.896 billion,

·       EBITDA (i.e. earnings before interest, taxes, depreciation and amortisation): PLN 83 million,

·       Adjusted EBITDA (i.e. EBITDA adjusted for the estimated valuation of compulsory liquid and gaseous fuel reserves, justified time shifts in costs and revenues, and one-off situations): PLN 105 million.

The comparative consolidated data for the fourth quarter of 2024 amount to:

 ·       Sales revenue: PLN 3.95 billion,

 ·       EBITDA: PLN 162 million,

 ·       Adjusted EBITDA: PLN 75 million.

The adjusted consolidated EBITDA for the fourth quarter of 2025 was primarily driven by the following factors:

 ·       The liquid fuels segment achieved an adjusted EBITDA of PLN 30 million in Q4 2025. The land premium for diesel fuel remains at a level that limits the possibility of achieving satisfactory margins. On the other hand, lower costs associated with maintaining compulsory reserves had a positive impact on this segment. This was a consequence of both the regulatory changes introduced and the Issuer's Group settling the costs of compulsory reserves for the entire year of 2025. In Q4 2025, the Issuer's Group recorded sales of liquid fuels at the level of 727 thousand cubic metres,

·       The bitumen segment generated PLN 31 million in Adjusted EBITDA in Q4 2025. The sales efficiency of this segment in the last quarter of the year is limited due to the decline in demand in the road construction and renovation sector during this period,

 ·       The infrastructure and logistics segment generated stable financial results. In Q4 2025, Adjusted EBITDA amounted to PLN 33 million,

 ·       Adjusted EBITDA in the LPG segment in Q4 2025 amounted to PLN 0 million. The Polish market took advantage of a sanctions loophole allowing for the supply of Russian-origin isobutane and n-butane (in January 2026, regulations tightening these sanctions came into force). During the period in question, Russian products were sold on the Polish market, leading to a deterioration in conditions for the Issuer's Group's LPG trading, as it incurred higher logistics costs due to a shift in its supply chain to the west.

The Preliminary Data presented has been prepared on the basis of preliminary financial data for the fourth quarter of 2025 available to the Issuer's Management Board. The estimates have been prepared to the best of the Management Board's knowledge as of the date of their preparation, but may differ from the final data to be published in the consolidated annual report for 2025.
