The Management Board of Unimot S.A., with its registered office in Zawadzkie (the ‘Issuer’), hereby announces that on 24 July 2025, steps were taken to initiate cooperation between the Issuer, PZL Sędziszów S.A. (‘PZL Sędziszów’) and PZL Defence S.A. (“PZL Defence”) in the defence sector.
Under these activities:
1. The Issuer's Management Board decided to acquire 40% of shares in PZL Defence, a wholly-owned subsidiary of PZL Sędziszów,
2. The Issuer signed a letter of intent with PZL Sędziszów and PZL Defence regarding the development of cooperation and PZL Defence's competence in the defence sector,
3. The Issuer concluded an agreement with PZL Sędziszów, under which, after the registration of PZL Defence in the National Court Register, it will acquire 40% of shares in that company for PLN 400,000.
PZL Sędziszów is an industrial plant with a licence for military production and extensive experience in the manufacture of precision components. It currently manufactures filters for military vehicles (Rosomak) and military helicopters from the Leonardo group. PZL Sędziszów established PZL Defence, which will utilise PZL Sędziszów's potential in defence projects supported by the Issuer.
As a result of the actions referred to above, it was agreed that the Issuer and PZL Sędziszów would consider commencing cooperation through PZL Defence in the field of:
1. Design, development and production of unmanned aerial vehicles (UAVs) for the civil market and, after obtaining the relevant licences, also for the defence sector;
2. Establishment of a research and development centre whose aim will be to design and test solutions in the areas of unmanned aerial systems and anti-drone systems,
Appointment of a working group consisting of specialists from the Issuer, PZL Sędziszów, PZL Defence, specialists from Ukraine (experienced experts with practical knowledge gained in real armed conflict) and an external business advisor whose task will be to develop a detailed model of cooperation.
Simultaneously, to participate in projects in the defence sector, the Issuer does not rule out further involvement, particularly through the potential future acquisition of shares in PZL Sędziszów and/or PZL Defence, either by acquiring new shares through a share capital increase or by acquiring existing shares from existing shareholders.
The issuer has deemed the above information confidential due to the potential future financial, market and economic consequences that may arise if the UNIMOT Group expands its activities to include the defence sector.
