Acquisition by the Issuer of 34.2% of the shares in PZL Sędziszów S.A. in exchange for a contribution in kind comprising 100% of the shares in PZL Defence S.A.

Current Report No. 17/2026 14:23

The Management Board of UNIMOT S.A., with its registered office in Zawadzkie (the “Issuer”), announces that on 1 October 2026 it entered into an agreement with PZL Sędziszów S.A. (“PZL Sędziszów”) for the subscription of 3,163,541 (three million one hundred and sixty-three thousand five hundred and forty-one) new shares, representing 34.2 per cent of the share capital and voting rights of PZL Sędziszów, at a total issue price of 49,999. ,990.12 PLN (forty-nine million nine hundred and ninety-nine thousand nine hundred and ninety zlotys 12/100) (“PZL Sędziszów Shares”).

The shares in PZL Sędziszów were acquired in exchange for a contribution in kind comprising 100 per cent of the shares in PZL Defence S.A. held by the Issuer, the fair value of which was confirmed by an independent auditor at PLN 50 million (the “Transaction”).

The Issuer provided information on its development plans in the defence sector in the Current Report No. 16/2025 of 24 July 2025, and on the further development of this project in its periodic reports.

PZL Sędziszów has a history dating back almost 90 years, a well-established market position, a licence to manufacture and trade in military products, including drones, and many years’ experience in the production of precision components. It currently manufactures filters for military vehicles and helicopters.

PZL Defence S.A. operates in the field of advanced technologies, focusing in particular on unmanned aerial systems (drones), dual-use solutions — for both civilian and military applications — and on the design and implementation of technological projects, including those for entities operating in the defence and security sector.

The company possesses the technological, organisational and operational capabilities required to develop its activities in this area, in particular:

  • knowledge and experience in the design, development and manufacture of unmanned aerial systems;

  • specialised human resources and organisational infrastructure;

  • business relationships and organisational readiness in ensuring compliance with applicable laws and regulatory requirements;

  • experience in implementing technological projects, including in cooperation with entities from the defence and security sectors;

  • a willingness to expand operations into areas subject to specific national and international regulations.

The transaction represents the next stage in the UNIMOT Group’s plan for further development within the defence sector. In accordance with the parties' plans for the transaction, following the acquisition of PZL Defence, PZL Sędziszów will be reorganised as PZL Defence Holding and will expand through acquisitions. Ultimately, the shares of PZL Defence Holding will be admitted to public trading, initially on the NewConnect market and, in the future, on the regulated market of the Warsaw Stock Exchange S.A.

The Issuer has deemed the above information confidential, given the value of the Transaction and the fact that it marks a further significant stage in shaping the ownership and business structure of the entities through which the Issuer will implement its strategic plans for the development of its activities in the defence sector.
