The Management Board of Unimot S.A., with its registered office in Zawadzkie (the “Company”, the“Issuer”), announces that on 23 June 2026, its subsidiary Unimot Energia i Gaz sp. z o.o. (the“Subsidiary”) entered into a set of agreements with the gas transmission system operator GAZ-SYSTEM S.A. (the “Operator”, “GAZ-SYSTEM”) granting it the right to 12 (twelve) regasification slots (regasification is the process of converting liquefied natural gas (LNG) back into a gaseous state through controlled heating) in each year, calculated as a calendar year, for a period of 15 (fifteen) years, commencing in 2030 (the “Agreements”).
One slot corresponds to the right to use the terminal’s service package within the allocated time slot, including the receipt of one LNG delivery (a cargo of approximately 180,000 m³, i.e. approximately 1.17 TWh of natural gas after regasification). The capacity allocated to the Subsidiary, therefore, corresponds to the ability to regasify up to 12 LNG deliveries per year throughout the entire contract period.
The Agreements comprise: a framework agreement (FSRU Regasification Agreement), a regasification order and a slot-sharing agreement.
The total estimated value of the Agreements entered into amounts to PLN 2,109 million net in respect of regasification fees.
The Agreements were concluded as part of the FSRU-2 Open Season procedure, conducted by the Operator, concerning the provision of regasification capacity at the second floating LNG terminal of the FSRU (Floating Storage Regasification Unit) type, located in the Gdańsk area.
The services covered by the Agreements will be provided under a regulated tariff model (a tariff approved by the President of the Energy Regulatory Office, based on the ‘cost-plus’ methodology), which ensures predictable settlement terms throughout the term of the agreement. The planned period for service provision covers 2030–2044, in line with the commissioning schedule for the FSRU-2 terminal.
For the purposes of securing potential claims arising from the Agreements, on which contractual liability is based, the Subsidiary is required to establish and maintain security in the form of deposits and bank guarantees up to an amount of PLN 317 million (with the amount of the deposits not exceeding PLN 177 million). Potential claims arising from the Contracts secured by the Subsidiary relate to any damages or compensation due to the parties to the Contracts in the event of breaches specified in detail in the Contracts, provided such breaches do not deviate from market standards.
The Company has deemed the above information confidential, given its significance and the strategic nature of securing long-term regasification capacity bookings for the development of the activities of the Subsidiary and the Issuer’s Group in the field of LNG trading. Cooperation with GAZ-SYSTEM will provide the UNIMOT Group with long-term access to infrastructure enabling the import of LNG, and thereby the diversification of gas supply sources and routes, as well as enhanced security of supply and cost predictability resulting from a regulated, tariff-based settlement model (cost-plus methodology, supervision by the President of the Energy Regulatory Office), as well as a long-term position in a key regional infrastructure project supporting Poland’s role as a gas distribution hub for Central and Eastern Europe.
The capacity acquired is a significant element in the implementation of the Company’s strategy in gas trading and the development of its LNG operations and, in the Management Board’s assessment, may in future have a significant impact on the scale and results of these operations.
